These Terms of Service (“Terms”) are a legally binding agreement between you (“User”, “you” or “your”) and FlatDeal (“FlatDeal”, “we”, “us” or “our”). They govern your access to and use of the FlatDeal website at https://flatdeal.com/, FlatDeal mobile applications, and all digital services, interfaces, forms, communications, features and functionality made available by FlatDeal from time to time (collectively, the “Platform”).

These Terms are intended to clearly define the scope of FlatDeal’s role, the nature of the Platform, the respective responsibilities of FlatDeal and Users, the manner in which enquiries and property transactions are facilitated, the treatment of Offers and Discounts, and the limits of responsibility applicable to information and services involving third-party Developers, Builders and Sellers.

By visiting the Platform, browsing any Project page, creating an Account, submitting an enquiry, requesting or attending a site visit, communicating with FlatDeal, viewing or using an Offer or Discount, initiating or completing a Booking through FlatDeal, uploading User Content, or otherwise using any Platform feature, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree to these Terms, you must not use the Platform.

1. Definitions and Interpretation

1.1 Account

A registered account maintained for a User to access Platform functionality that requires registration, including Booking functionality.

1.2 Booking

Any booking, reservation, application, token arrangement, allotment request, expression of interest accepted for processing, or other transaction step concerning a Property that is initiated through or facilitated by FlatDeal.

1.3 Booking Amount

Any token amount, booking amount, application amount, advance, deposit, consideration or other amount payable in connection with a Property transaction to a Builder, Developer, Seller or other authorised recipient.

1.4 Builder / Developer / Seller

The developer, promoter, builder, owner, seller, lessor or other person or entity that offers, owns, develops or contracts in relation to a Property or Project.

1.5 Discount

A reduction in the stated or otherwise applicable price, charge or consideration for a Property or related item, offered subject to specified conditions.

1.6 Eligible Booking

A Booking satisfying every condition expressly stated for a particular Offer or Discount, including any requirements relating to Project, inventory, unit, configuration, booking date, payment, documentation or completion.

1.7 Offer

Any discount, cashback, upgrade, preferential commercial term, product, service, incentive, benefit or other promotional proposition made available by FlatDeal or a participating partner.

1.8 Platform

The FlatDeal website, mobile applications, software, digital interfaces, forms, pages, communication channels and associated digital services.

1.9 Property

A residential or commercial apartment, villa, floor, plot, office, shop, parcel, premises, unit or other real estate interest displayed or referred to on the Platform.

1.10 Project

A residential or commercial development or collection of Properties offered by a Builder, Developer or Seller and presented through the Platform.

1.11 User Content

Any review, rating, testimonial, comment, question, photograph, video, feedback or other material submitted by a User.

1.12 Third Party

Any person or entity other than FlatDeal and the User.

1.13 Interpretation

Unless the context requires otherwise, words in the singular include the plural and vice versa; references to a person include individuals and legal entities; “including” and similar expressions are without limitation; references to law include amendments and subordinate legislation; headings are for convenience and do not limit interpretation; references to writing include legally recognised electronic communications; and a reference to a document includes that document as amended or replaced in accordance with its terms.

2. FlatDeal’s Business and Legal Role

FlatDeal is a digital real estate discovery and transaction-facilitation platform. Its principal function is to help Users discover Projects and Properties, access information made available through the Platform, communicate with relevant Developers and Builders, request site visits, receive general property-related assistance, and facilitate the administrative and communication aspects of Bookings.

FlatDeal may act, depending on the Project, Builder and commercial arrangement, as a broker, real estate agent, channel partner, marketing partner, referral partner, lead facilitator or transaction facilitator. FlatDeal’s role for one Project may therefore differ from its role for another Project.

FlatDeal may receive commission, brokerage, referral fees, marketing consideration or other commercial consideration from a Developer, Builder or Seller when a transaction is attributed to or completed through FlatDeal. Such commercial consideration is ordinarily paid by the relevant property partner and does not, by itself, create a separate payment obligation on the User.

Unless expressly stated otherwise, the User does not pay FlatDeal a separate brokerage or platform fee merely for browsing Projects, submitting ordinary enquiries, arranging site visits or using standard booking-facilitation services.

FlatDeal is not, merely because it displays, advertises, introduces, coordinates or facilitates a Property, the owner, promoter, developer, builder, seller, lessor, lender, insurer, financier or other principal contracting party for that Property.

3. Acceptance and Electronic Contracting

The User’s acceptance may be recorded electronically through an Account registration flow, acceptance control, Booking flow, checkbox, button, electronic message or continued use of the Platform after these Terms have been made available. To the extent permitted by applicable law, such electronic acceptance may constitute evidence of agreement to these Terms.

Certain Projects, Offers, Discounts, Bookings and services may be subject to additional terms presented to the User before or during the relevant transaction. Those specific terms form part of the agreement applicable to that transaction. If a specific Project, Booking or Offer term expressly conflicts with a provision of these Terms, the specific term governs only the subject matter for which it was specifically issued, while these Terms continue to govern general Platform use.

A User remains responsible for reading all applicable terms before taking the relevant action.

4. Eligibility, Authority and Legal Compliance

The Platform may be accessed from anywhere. However, availability of a Project through the Platform does not mean that the Property or transaction is legally available to every person. The User must independently determine eligibility under laws applicable to the User and the Property.

A User acting for a family member, company, partnership, trust or other entity represents that the User has authority to act for that person or entity. FlatDeal may require evidence of such authority where reasonably necessary.

The User is responsible for compliance with applicable laws concerning acquisition, ownership, lease, financing, foreign investment, taxation, registration, use and disposal of real estate. FlatDeal does not provide legal advice as to the User’s personal eligibility.

The User must not use the Platform for a transaction that the User knows or reasonably believes would be unlawful.

5. Account Registration and Account Security

Users may browse portions of the Platform without an Account. An Account is required for Booking functionality and any other feature that FlatDeal designates as restricted.

The User must provide information that is truthful, accurate, complete and current. The User must promptly correct material inaccuracies. An Account must not be registered in another person’s name or used to impersonate another person.

FlatDeal may request verification of identity, mobile number, email address, authority, eligibility or other information where reasonably necessary to protect the Account, prevent fraud, process a Booking, determine Offer eligibility or comply with law.

The User is responsible for maintaining the confidentiality of passwords, one-time codes, device access and other authentication methods. The User must not share authentication credentials with another person. The User must notify FlatDeal promptly of suspected unauthorised access.

FlatDeal may suspend access while investigating suspected compromise, fraud, misuse, security threats or other serious concerns. Suspension does not by itself cancel an underlying property contract unless the relevant contract independently provides for such cancellation.

6. Platform Services and Service Limitations

Depending on Project and service availability, FlatDeal may provide:

  • Project search, discovery and filtering.
  • Residential and commercial Project pages.
  • Property and Project information supplied by FlatDeal or third parties.
  • Comparison tools and informational summaries.
  • Enquiry and lead facilitation.
  • Communication and coordination with Builders and Developers.
  • Site-visit coordination.
  • General property-related guidance.
  • Booking facilitation and administrative coordination.
  • Information concerning applicable Offers and Discounts.
  • Customer support and transaction-related assistance.
  • Other related digital services introduced from time to time.

FlatDeal may change, improve, restrict, suspend or discontinue features. Where a feature is discontinued, any accrued statutory or contractual right of a User that cannot lawfully be affected by discontinuation remains unaffected.

7. Property and Project Information

Project pages may contain the name of the Project and Developer, location, pricing, available configurations, indicative or current inventory, floor plans, area descriptions, specifications, amenities, photographs, videos, renderings, brochures, construction status, estimated possession dates, approvals or registration information, payment plans, Offers and other information.

Information may be supplied by the Developer, Builder, Seller, channel partner, service provider, public source or another Third Party. Because property information changes frequently, there may be a delay between a change occurring and the change being reflected on the Platform.

FlatDeal seeks to present useful and reasonably accurate information but does not represent that every Project data point has been independently verified, that every data point is current at every moment, or that no typographical, feed, integration or human error can occur.

Before making a financial or legal commitment, the User must independently verify material information directly with the relevant Developer or Builder and review the underlying transaction documents.

A Project page, advertisement, enquiry response or other Platform display does not constitute a guarantee by FlatDeal of the legality, quality, availability, suitability, possession date, construction standard, title, return or future value of the Property.

8. Images, Renderings, Plans and Measurements

Photographs, renderings, computer-generated images, virtual tours, illustrations and other visual material may be representative, artistic, conceptual, staged or taken at an earlier stage. Furniture, fixtures, landscaping, finishes, lighting, views and other details shown may differ from the completed Property.

Floor plans, carpet area, built-up area, super built-up area, dimensions and other measurements must be verified against the Builder’s approved and contractual documentation. Marketing diagrams are not a substitute for sanctioned plans or executed contractual documents.

9. Inventory and Availability

Inventory displayed on the Platform is subject to confirmation by the relevant Developer or Builder. A Property may be sold, booked, blocked, withdrawn, released or become unavailable at any time.

A search result, saved Property, enquiry, site visit, quotation or communication does not reserve inventory unless the relevant Developer expressly confirms a reservation under its applicable terms.

10. User Due Diligence

The User acknowledges that a real estate transaction may involve substantial financial, legal and practical consequences. Before committing, the User should conduct due diligence appropriate to the transaction, including, where applicable, verification of title, ownership, encumbrances, litigation, approvals, registration, sanctioned plans, land use, construction status, payment obligations, possession commitments, specifications, maintenance charges, taxes, financing, cancellation rights and identity and authority of the contracting party.

FlatDeal may assist Users with discovery and coordination, but such assistance does not eliminate the User’s obligation to conduct due diligence or obtain independent professional advice.

11. Enquiries and Lead Handling

An enquiry is a request for information or contact. It is not a reservation, allotment, Booking, binding offer or promise of transaction completion.

When a User submits an enquiry, FlatDeal may use the provided information to understand the request, contact the User, identify potentially relevant Projects and communicate relevant information to the Developer or Builder so that the enquiry may be handled.

The User authorises FlatDeal to contact the User regarding the enquiry and related property opportunities using the contact details supplied, subject to applicable law and the User’s marketing preferences.

FlatDeal may retain enquiry records for service continuity, audit, dispute handling, fraud prevention, compliance and other lawful purposes described in the Privacy Policy.

12. Site Visits

Where available, FlatDeal may assist with scheduling or coordinating a site visit. Unless expressly described as a chargeable service, there is no separate fee payable to FlatDeal for ordinary site-visit coordination.

Site visits are subject to the Developer’s and site operator’s availability and access conditions. FlatDeal does not control site access, site safety arrangements, construction activity, personnel or the information supplied at the site.

A site visit does not constitute an inspection certificate, title verification, structural assessment, valuation, legal opinion, reservation, allotment or confirmation that the Property will be delivered in the condition observed during the visit.

13. General Guidance and Recommendations

FlatDeal may use information supplied by a User and information available about Projects to help the User understand options. Guidance may include discussion of location, configuration, price, Project characteristics, transaction process and other practical considerations.

Unless separately agreed in a written professional engagement, FlatDeal’s guidance is general informational assistance and is not legal, tax, accounting, financial, investment, valuation, architectural, structural, engineering or other regulated professional advice.

A User’s decision to enquire, visit, negotiate, book or purchase remains the User’s decision. The User should consult appropriate independent professionals for matters requiring professional advice.

14. Booking Process and Acceptance

A User must maintain an Account to initiate or complete a Booking through FlatDeal. The Booking process may include Project selection, unit selection, submission of User information, availability and pricing confirmation, submission of a booking form or application, payment directly to the Developer or other authorised recipient, Developer acceptance, allotment and execution of further documents.

The exact process may vary by Project. Submission of a Booking request through the Platform does not by itself constitute unconditional acceptance by the Developer or a guarantee that the selected Property will remain available.

The Developer or Builder controls the final acceptance of the Booking unless FlatDeal has expressly been authorised in writing to accept it on the Developer’s behalf.

15. Payment Flow; FlatDeal Does Not Hold Property Funds

FlatDeal does not ordinarily receive, hold, escrow, safeguard or control Booking Amounts or purchase consideration in respect of the underlying Property transaction. Unless expressly stated otherwise, property-related payments are made directly to the Developer, Builder, Seller or another authorised recipient.

The User must verify payment instructions, recipient identity, account details, payment reference and purpose before transferring funds. If a payment request is received from an unofficial or unexpected channel, the User should verify it independently with the relevant Developer or Builder.

FlatDeal does not become a custodian, trustee, escrow agent or fiduciary for property funds solely because it facilitates the transaction.

16. Underlying Property Contract

Any sale, allotment, lease, licence, development or other Property contract is ordinarily between the User and the Developer, Builder, Seller or other relevant contracting party. The contract may prescribe payment schedules, title representations, possession, specifications, cancellation, refund, maintenance, default and dispute procedures.

The User is responsible for reviewing and understanding the underlying documents. FlatDeal may assist with administrative coordination but does not assume the Developer’s contractual obligations.

Where a specific written commitment is expressly made by FlatDeal in its own name, that commitment will be governed by the document containing it and applicable law.

17. Offers, Discounts, Cashback and Other Benefits

FlatDeal may make available Offers and Discounts on particular Projects or Bookings. These may include direct price reductions, cashback, upgrades, interiors, appliances, vehicles, holidays, memberships, products, services or other benefits.

Each Offer or Discount is subject to the particular conditions communicated with that Offer. Eligibility may depend on Project, unit, configuration, inventory, booking date, booking amount, payment schedule, documentation, completion of the underlying transaction and compliance with other stated terms.

17.1 Offer Information

Where an Offer is displayed with specific conditions, those specific conditions control. A general statement that an Offer is available does not create a right to receive the Offer where the eligibility requirements are not satisfied.

17.2 Inventory and Time Limits

An Offer may be available only while specified inventory, campaign allocation, supplier availability or time period remains. FlatDeal may state an expiry date or availability limitation.

17.3 Changes Before Eligibility is Earned

Where permitted by the applicable Offer terms, FlatDeal may amend, suspend, replace or withdraw an unearned Offer or Discount because of inventory changes, pricing changes, supplier limitations, fraud concerns, expiry or other legitimate operational reasons.

17.4 No Stacking

Offers and Discounts are not combinable with another promotional offer, discount or benefit unless the specific terms expressly allow combination.

17.5 No Cash Conversion

A non-cash benefit cannot be exchanged for cash unless the particular Offer expressly provides a cash component.

17.6 Cancellation and Reversal

If the underlying Booking is cancelled, rejected, withdrawn, rescinded or otherwise does not complete, the associated Offer or Discount may be cancelled or reversed, subject to the specific Offer terms and mandatory law.

17.7 Fulfilment

Where FlatDeal is responsible for providing the benefit, FlatDeal may require information reasonably necessary to verify eligibility and fulfil the benefit. A third-party supplier may impose additional delivery or use conditions.

17.8 Taxes

The User is responsible for understanding and complying with tax or statutory obligations arising from an Offer or benefit. FlatDeal may withhold, report or otherwise act where legally required.

18. Cancellation, Refund and Post-Booking Assistance

the underlying booking form, application, agreement and cancellation policy of the relevant Developer, Builder or Seller, subject to mandatory law.

Where the Booking Amount was paid directly to the Developer, Builder or Seller, that party is ordinarily responsible for determining the refund in accordance with its contractual and statutory obligations. FlatDeal does not control the timing or amount of a third-party refund.

FlatDeal may, where permitted by the applicable commercial arrangement, charge a cancellation or administrative fee in respect of services already provided or cancellation processing. Where such a fee is applicable, it should be communicated to the User before it becomes payable.

Cancellation of a Booking may also cancel any associated Offer, Discount or benefit, and may require reversal of a benefit already supplied, to the extent permitted by the applicable terms and law.

19. Developer and Third-Party Responsibility

Developers, Builders, Sellers, reward providers, site operators and other Third Parties are independent entities. They are responsible for matters within their respective contractual or statutory control.

Without limiting the foregoing, the relevant Developer or Builder is responsible for title, ownership, project approvals, registrations, sanctioned plans, construction, workmanship, specifications, promised amenities, possession, delivery, maintenance, defects, delays, cancellation and refunds.

FlatDeal may assist with communication or escalation but does not assume third-party contractual obligations unless expressly agreed in writing.

20. User Content

The Platform may permit Users to submit reviews, ratings, testimonials, comments, questions, photographs, videos and other materials. The User represents that the User has the necessary rights and permissions to submit the content.

The User must not upload content that is unlawful, fraudulent, defamatory, infringing, obscene, threatening, malicious or knowingly false, or that unlawfully discloses another person’s private information.

By submitting User Content, the User grants FlatDeal a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, edit for moderation or presentation, publish, display, distribute and use that content for operating, improving, analysing, supporting, marketing and promoting FlatDeal and its services, subject to applicable law.

FlatDeal may moderate, refuse, remove or restrict User Content for legal, safety, quality, accuracy or Platform-integrity reasons.

21. Reviews and Testimonials

Reviews and testimonials should reflect genuine experiences. Users must not fabricate reviews, impersonate another reviewer, manipulate ratings or make knowingly false statements.

FlatDeal may request additional information to verify a review or experience and may remove or restrict a review where reasonably necessary.

Where a testimonial is used for marketing, FlatDeal will process it in accordance with the permissions and legal requirements applicable to the relevant content.

22. Intellectual Property

The FlatDeal name, brand, logos, trademarks, designs, software, interfaces, databases, layouts, text, graphics, photographs, videos, compilations and other FlatDeal-owned or licensed material are protected by applicable intellectual-property laws.

Except as expressly permitted by FlatDeal or applicable law, no User may copy, reproduce, distribute, publish, mirror, scrape, sell, sublicense, create derivative works from or commercially exploit Platform material.

Subject to these Terms, FlatDeal grants the User a limited, revocable, non-exclusive and non-transferable right to access and use the Platform for lawful personal or internal business purposes. No ownership rights are transferred.

23. Acceptable Use and Prohibited Activities

  • Using the Platform for unlawful, fraudulent or deceptive purposes.
  • Providing false, misleading or materially incomplete information.
  • Impersonating another person or falsely claiming affiliation with FlatDeal or a Developer.
  • Creating duplicate or fraudulent Accounts to circumvent restrictions or obtain multiple benefits.
  • Submitting knowingly false, malicious or abusive enquiries.
  • Manipulating, abusing or fraudulently claiming Offers or Discounts.
  • Scraping, crawling, harvesting or systematically extracting Platform data without written permission.
  • Using bots or automated methods that materially interfere with the Platform.
  • Attempting to bypass authentication or security controls.
  • Uploading malware, malicious code or harmful material.
  • Interfering with the operation or availability of the Platform.
  • Reverse engineering except where applicable law expressly permits it.
  • Harassing, threatening or abusing FlatDeal staff, Developers, Builders or other Users.
  • Uploading unlawful, defamatory, obscene or infringing content.
  • Using Platform information to facilitate fraud or unlawful activity.
  • Using Platform data to build a competing database or service without permission.
  • Attempting to access another User’s Account or confidential information.

24. Privacy, Cookies and Communications

The FlatDeal Privacy Policy describes collection and processing of personal information, and the FlatDeal Cookie Policy describes cookies and similar technologies. Those policies form part of the Platform’s legal framework.

By providing contact details and using the Platform, a User may receive service, transaction and account communications. Promotional communications will be handled in accordance with applicable law and applicable consent or preference controls.

25. Electronic Records and Notices

To the extent permitted by law, the User consents to electronic notices, records, acknowledgements, disclosures, consents and agreements. Records maintained electronically in the ordinary course may be used as evidence of communications, actions and transactions, subject to applicable law.

Notices to FlatDeal should be directed to the contact details stated in Section 34. Notices to Users may be sent to the email, mobile number or other contact information associated with the Account or may be displayed through the Platform.

26. Third-Party Websites and Services

The Platform may link to or integrate third-party websites, applications, maps, communications services, analytics tools, reward providers and other systems. FlatDeal does not control all third-party systems and does not guarantee their content, accuracy, availability, security, privacy practices or contractual performance.

The User’s interaction with a Third Party may be subject to separate terms and privacy policies.

27. Security and Platform Availability

FlatDeal uses reasonable technical and organisational measures designed to maintain security and protect the Platform. However, no internet-connected system can be guaranteed to be completely secure.

The Platform may experience interruptions due to maintenance, software updates, security events, telecommunications failures, infrastructure failures, third-party outages, natural events, government actions or other circumstances beyond FlatDeal’s reasonable control.

28. Disclaimers

The FlatDeal Disclaimer forms part of these Terms. The Platform is intended to support discovery and transaction facilitation and is not a substitute for independent verification or professional advice.

To the maximum extent permitted by law, FlatDeal does not guarantee uninterrupted Platform availability; continuous accuracy or completeness of third-party information; continued availability of a Property; unchanged pricing; a particular possession date; Developer performance; financing approval; a particular investment return; or successful completion of a property transaction.

Nothing in these Terms excludes or limits any liability, consumer right or statutory remedy that cannot lawfully be excluded or limited.

29. Limitation of Liability

To the maximum extent permitted by applicable law, FlatDeal will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising from or connected with a third-party Property transaction, including Developer conduct, construction defects, possession delays, title disputes, changes in specifications, Developer default, financing decisions, expected investment returns, third-party services, third-party information or events outside FlatDeal’s reasonable control.

Where FlatDeal is nevertheless found legally liable, its aggregate liability arising from the claim will, to the maximum extent permitted by applicable law, be limited to the amount of fees actually paid directly to FlatDeal by the User for the specific service giving rise to the claim during the six months immediately preceding the event giving rise to the claim.

This clause does not apply to liability that cannot legally be excluded or limited.

30. Indemnity

To the maximum extent permitted by law, the User agrees to indemnify and hold harmless FlatDeal, its affiliates, officers, directors, employees, representatives, contractors and service providers against claims, losses, liabilities, damages, costs and reasonable expenses arising from the User’s breach of these Terms, unlawful use of the Platform, violation of another person’s rights, fraudulent conduct, misuse of an Offer or Discount, inaccurate information supplied by the User or unlawful User Content.

The indemnity does not require the User to indemnify FlatDeal for liability that cannot lawfully be shifted to the User.

31. Suspension and Termination

FlatDeal may suspend, restrict or terminate access to an Account or Platform feature where reasonably necessary because of suspected fraud, security compromise, misuse of Offers, breach of these Terms, unlawful conduct, material risk to another person or the Platform, legal requirements or discontinuation of a service.

The User may stop using the Platform and may request Account closure, subject to legal, regulatory, transaction and record-retention requirements.

Termination of Platform access does not automatically terminate an independent contract between the User and a Developer, Builder or Seller.

32. Consequences and Survival

Upon termination, the User’s licence to access restricted Platform functionality ends. Provisions concerning intellectual property, User Content licences, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, governing law, accrued rights and other provisions intended by their nature to survive termination shall survive.

33. Changes to the Platform and Terms

FlatDeal may modify the Platform, features, services, Offers, processes and these Terms to reflect changes in law, technology, business practices, security or services.

The latest version of the Terms will be published on the Platform with a revised date. Where law requires a particular notice or consent for a material change, FlatDeal will provide the required notice or obtain the required consent. Continued use after the effective date constitutes acceptance to the extent permitted by law.

34. Governing Law; Jurisdiction; Statutory Right

These Terms are governed by the laws of India.

Subject to mandatory statutory jurisdiction, consumer rights, real estate regulatory jurisdiction and other non-waivable rights, the courts and competent authorities at Noida, Uttar Pradesh shall have jurisdiction over disputes arising from these Terms or use of the Platform.

Nothing in these Terms prevents a User from approaching a competent Consumer Commission, RERA authority, regulator, statutory body or court where applicable law grants such a right.

35. Dispute Resolution

Users are encouraged to contact FlatDeal first so that complaints can be reviewed and, where within FlatDeal’s control, resolved.

Where a complaint concerns a Developer’s title, construction, possession, specifications, refund or other contractual performance, FlatDeal may assist with communication but does not assume the third party’s obligations.

Where arbitration is legally permissible and separately agreed between the parties, the arbitration shall be conducted in accordance with applicable Indian law, with Noida, Uttar Pradesh as the seat, unless a different arrangement is mandatory under law.

36. Severability and Waiver

If any provision is held unlawful, invalid or unenforceable, it shall be modified or severed only to the minimum extent necessary and the remaining provisions shall continue.

A failure by FlatDeal to enforce a provision immediately does not waive the right to enforce that provision later.

37. Assignment

The User may not assign rights or obligations under these Terms without FlatDeal’s written consent except where applicable law permits otherwise. FlatDeal may assign or transfer rights and obligations in connection with a merger, acquisition, financing, restructuring, sale of business or similar transaction, subject to applicable law.

38. Entire Agreement

These Terms, the Privacy Policy, Cookie Policy, Disclaimer and any expressly incorporated Project, Booking or Offer terms constitute the contractual framework governing Platform use. Separate agreements between the User and a Developer, Builder, Seller or other Third Party remain separately enforceable according to their terms.

These channels may be used for Platform support, complaints, grievances, privacy requests, Offer or Discount questions and other communications. FlatDeal will endeavour to acknowledge and address complaints within timelines prescribed by applicable law.

40. Detailed Booking Mechanics

The following provisions govern the mechanics of a Booking facilitated through FlatDeal and are intended to distinguish an enquiry, an expression of interest, a booking request, a booking accepted by a Developer or Builder, an allotment and the final underlying property contract.

40.1 Enquiry is Not a Booking

A form submission, telephone conversation, WhatsApp message, email, request for a quotation, request for a site visit, expression of interest, selection of a unit on the Platform or similar action is only an enquiry or preliminary request unless FlatDeal expressly identifies the action as a Booking request. None of these actions, by itself, creates an allotment, reservation or proprietary interest.

40.2 Booking Request

A Booking request may require specified User information, Project identification, unit details, price confirmation, eligibility information and acceptance of specified terms. A Booking request is subject to verification and acceptance by the relevant Developer or Builder.

40.3 Acceptance

A Booking becomes accepted only when the relevant Developer, Builder or authorised party confirms acceptance in accordance with its applicable process. A confirmation from FlatDeal that it has received a request is not, by itself, confirmation that the Developer has accepted it.

40.4 Inventory Conflict

If more than one person seeks the same unit, the Developer or Builder determines the allocation in accordance with its inventory and booking process. FlatDeal does not guarantee priority merely because a User contacted FlatDeal first.

40.5 Price Conflict

Where the price in a Platform display differs from the price confirmed by the Developer or Builder, the price applicable to the underlying transaction is the price accepted in the relevant contractual documentation, subject to applicable law. FlatDeal may correct a displayed error before a Booking is accepted.

40.6 Booking Documentation

The User must complete documents and provide information requested by the Developer, Builder or FlatDeal for lawful transaction processing. Failure to provide required documents may delay or prevent completion.

40.7 Booking Attribution

Where FlatDeal is entitled to commission because a transaction is attributed to its lead or facilitation, FlatDeal may retain reasonable records demonstrating the source, timing and continuity of the enquiry or Booking, subject to its Privacy Policy.

40.8 Post-Booking Assistance

After a Booking, FlatDeal may continue to assist with communication and coordination. Such assistance does not make FlatDeal a party to the underlying sale or a guarantor of the Developer’s performance.

41. Detailed Rules for Prices, Quotes and Commercial Statement

41.1 Indicative Versus Confirmed Information

Unless a Platform page expressly states that a price or commercial term is confirmed and binding, displayed price and commercial information is indicative and remains subject to verification and acceptance by the relevant Developer or Seller.

41.2 Components of Price

A quoted or displayed amount may relate only to a stated component of the transaction. The User must determine whether the amount excludes taxes, duties, registration, maintenance, parking, floor-rise, preferential-location, infrastructure, club, utility, legal, financing or other charges.

41.3 Changes Before Contract

Until the applicable contractual documents are executed or the Developer otherwise confirms the price in binding form, prices and commercial terms may change. FlatDeal may communicate updated information when it becomes aware of it.

41.4 Error Correction

If FlatDeal identifies a typographical, feed, integration or calculation error, it may correct the information and, where appropriate, notify affected Users. A display error does not create a contractual obligation on FlatDeal to supply property at an erroneous price unless required by applicable law or expressly accepted in writing.

42. Detailed Offer, Discount and Promotional Benefit Conditions

FlatDeal may make available Promotions in the form of Rewards, Offers, Discounts, cashback, upgrades, products, services or other benefits. The word “Promotion” in this section is used as a generic umbrella and does not refer to any single brand-specific reward programme.

42.1 Promotion Description

Each Promotion should be read together with its displayed or communicated conditions. The conditions may identify the Project, unit type, inventory, booking period, minimum transaction amount, payment milestone, required documentation, fulfilment method and expiry.

42.2 Qualifying Event

A Promotion is earned only upon the event specified in its terms. That event may be submission of an eligible Booking, acceptance of a Booking, payment of a specified amount, completion of a specified milestone or completion of the underlying transaction. Until that event occurs, no vested right to the Promotion arises, except where applicable law provides otherwise.

42.3 Verification

FlatDeal may verify identity, Booking status, transaction details, payment status, duplicate-account concerns and compliance with Promotion conditions before confirming or delivering a benefit.

42.4 Expiry

A time-limited Promotion expires at the stated time or when the specified inventory or allocation is exhausted, whichever occurs first, unless the terms state otherwise.

42.5 Non-Stacking

A User cannot claim multiple Promotions for the same Booking or combine Promotions unless the individual Promotion expressly states that combination is permitted.

42.6 Cancellation

If the underlying Booking is cancelled, rejected, rescinded or does not complete in the manner required by the Promotion, the Promotion may be cancelled, withdrawn or reversed. If a benefit has already been delivered, FlatDeal may seek reasonable recovery to the extent permitted by law.

42.7 Non-Cash Benefits

A product, service, upgrade or other non-cash benefit is not exchangeable for cash unless the relevant Promotion expressly provides a cash alternative.

42.8 Supplier Terms

Where a Promotion is fulfilled by a Third Party, the User may be required to comply with that Third Party’s redemption, delivery, expiry or usage terms. FlatDeal may assist but does not assume the Third Party’s independent obligations.

42.9 Taxes

The User remains responsible for any tax, withholding, reporting or statutory requirement applicable to a Promotion to the extent imposed on the User by law.

43. Cancellations, Refunds and Chargebacks

43.1 Notice of Cancellation

A User seeking to cancel a Booking should use the cancellation mechanism or contact channel specified in the Booking documents or by FlatDeal. A message to a sales representative may not by itself constitute a formally accepted cancellation unless acknowledged by the relevant party.

43.2 Developer Cancellation Terms

The Developer’s or Builder’s booking form, agreement and cancellation policy govern whether a Booking may be cancelled, the financial consequences of cancellation and the refund amount, subject to mandatory law.

43.3 FlatDeal Fee

Where a cancellation or administrative fee is permitted and applicable to FlatDeal’s own services, FlatDeal may recover that amount after communicating the applicable basis or amount. Such a fee will not be represented as a Developer refund or government charge.

43.4 Refund Routing

Where the User paid the Developer or Builder directly, the refund should be processed by that party in accordance with its obligations. FlatDeal cannot guarantee a third-party refund.

43.5 Disputed Payments

If a User disputes a payment or initiates a chargeback or payment reversal through a bank or other provider, the User must provide accurate information and cooperate in resolving the dispute. A chargeback does not automatically cancel the underlying property contract or eliminate amounts lawfully due to a Developer, Builder or FlatDeal.

44. User Representations and Warranties

By using the Platform, the User represents that the information supplied is accurate to the User’s knowledge, the User is authorised to take actions through the Account, the User will not use the Platform for fraudulent or unlawful purposes, and the User will comply with applicable Project, Booking and Promotion conditions.

If the User discovers that information previously supplied to FlatDeal is materially incorrect, the User should promptly notify FlatDeal so that the relevant record can be corrected where appropriate.

45. Fraud, Abuse and Investigation

FlatDeal may investigate activity that reasonably appears fraudulent, abusive or intended to manipulate Platform features, enquiry attribution, inventory, Offers or Discounts.

Examples include false identities, multiple Accounts created to obtain multiple benefits, fabricated enquiries, payment fraud, document manipulation, impersonation, deliberate circumvention of eligibility conditions, and attempts to induce FlatDeal or a Builder to act on materially false information.

FlatDeal may suspend or restrict an Account during investigation and may cancel an unearned Promotion associated with suspected fraudulent activity, subject to applicable law.

Where appropriate or legally required, FlatDeal may share relevant information with Developers, Builders, payment service providers, professional advisers, law-enforcement authorities or regulators.

46. Records, Evidence and Audit Trail

FlatDeal may maintain records of Account creation, consents, enquiries, Project views, communications, Booking requests, confirmations, Promotion eligibility, fulfilment, complaints and material administrative actions. Such records may include timestamps, device or system information and copies of communications, subject to the Privacy Policy.

Electronic records are maintained to support service delivery, security, dispute resolution, regulatory compliance and evidentiary needs. The existence of an electronic record does not prevent a User from challenging its accuracy through appropriate channels.

47. Complaints, Escalation and Developer Matters

47.1 Platform Complaints

Complaints about Platform functionality, account access, FlatDeal communications, enquiry handling or a FlatDeal-administered Promotion should be directed to FlatDeal.

47.2 Developer Complaints

Complaints concerning title, possession, construction, defects, specifications, allotment, refunds or performance of the Developer’s contract should ordinarily also be raised with the Developer because that party controls the underlying obligation.

47.3 Assistance

FlatDeal may communicate with the Developer or Builder, assist the User in escalating a matter and provide administrative support. Such assistance does not transfer the underlying legal responsibility from the Developer or Builder to FlatDeal.

47.4 Statutory Forums

Nothing prevents a User from approaching a competent statutory or regulatory forum where the User has a legal right to do so.

48. More Detailed Liability Allocation

FlatDeal is responsible for services it actually undertakes to provide, subject to applicable law. The Developer or Seller is responsible for the underlying Property and property contract. The User is responsible for the User’s own decision to transact and for information supplied by the User.

A failure by a Developer to perform its obligations will not, solely because FlatDeal facilitated the introduction, be treated as a failure by FlatDeal unless FlatDeal independently breached an obligation it owed to the User.

Nothing in these provisions excludes liability for matters that cannot legally be excluded, including statutory rights that cannot be waived.
